Portavis Proprietary Software Licence

1. Ownership

Portavis, including its source code, object code, user interfaces, documentation, designs, and other original materials (the Software), is owned by or licensed to James Maltby, trading as Portavis (the Licensor). The Software is protected by copyright and other intellectual property laws. No ownership rights are transferred under this licence.

2. Limited authorised use

Subject to payment of applicable charges and compliance with a valid written order, subscription, or other agreement with the Licensor, the Licensor grants the customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Software for the customer's internal business purposes during the authorised term.

No right is granted to possess or use the Software's source code unless the Licensor expressly agrees otherwise in writing.

3. Restrictions

Except where applicable law expressly prevents a restriction, no person may, without the Licensor's prior written permission:

copy, reproduce, republish, distribute, sell, lease, sublicense, assign, transfer, or commercially exploit the Software;
modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, or otherwise attempt to derive the Software's source code or underlying structure;
remove, conceal, or alter copyright, trade mark, attribution, or proprietary notices;
provide the Software as a service to a third party, permit unauthorised access, or use it to develop or benchmark a competing product; or
circumvent access controls, licence controls, usage limits, or security measures.

The customer may make only those backup copies expressly permitted by its written agreement with the Licensor.

4. Customer data

This licence does not transfer ownership of data entered into the Software by or for a customer. Customer-data handling, availability, retention, export, and deletion are governed by the applicable written agreement and privacy terms.

5. Third-party materials

The Software uses third-party software, data, and hosted services governed by their own terms and licences. Those materials are not licensed under this proprietary licence. See the Third-Party Software Licences page.

6. Updates and availability

Unless a written agreement states otherwise, this licence does not require the Licensor to provide maintenance, support, updates, continued availability, or any particular functionality.

7. Confidentiality

Non-public source code, technical information, credentials, security information, and documentation supplied by the Licensor must be treated as confidential and used only as authorised by the applicable written agreement.

8. Termination

This licence and the right to use the Software end automatically when the applicable authorisation expires or is terminated, or upon a material breach that remains unremedied where a remedy period is required by the applicable agreement or law. On termination, the customer must stop using the Software and delete copies in its possession or control, except where retention is required by law.

Sections concerning ownership, restrictions, confidentiality, third-party materials, liability, and governing law survive termination.

9. Disclaimer and liability

Except to the extent expressly stated in a written agreement, and to the maximum extent permitted by law, the Software is provided "as is" and all implied warranties, conditions, and representations are excluded.

Nothing in this licence excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Any other warranties, service commitments, indemnities, and limits of liability are governed by the applicable written agreement.

10. Governing law and jurisdiction

This licence and any non-contractual obligations arising from it are governed by the laws of England and Wales. Subject to any different dispute-resolution provision in an applicable written agreement, the courts of England and Wales have exclusive jurisdiction.

11. Entire licensing basis

This licence records the default proprietary status of the Software. If it conflicts with a valid written agreement signed or otherwise expressly accepted by the Licensor, that agreement prevails to the extent of the conflict. No other rights are granted by implication, estoppel, or otherwise.
